Terms of Service

Who you're working with

Services are provided by Ondřej Jasenský, trading as ShadowGhost, a sole trader (OSVČ) registered in the Czech Republic under IČO 29553458, registered address Bezručova 4201, 430 03 Chomutov, Czech Republic. I'm not registered for VAT, so prices shown don't include VAT.

What's on offer

I build custom websites, Discord bots, and related work, offered either as a one-time build with full ownership handed over, or as a managed plan where I keep hosting and handling updates for a recurring fee, as described in the services section of this site.

Every project is scoped and priced individually. Prices shown anywhere on the site are starting estimates, not fixed quotes, the actual price depends on what you need.

How a project becomes a firm agreement

Submitting the request form is not a binding order and doesn't cost anything. It just starts a conversation.

A binding agreement only exists once I've reviewed your request, confirmed a specific scope of work, and given you a final price, which you can see in the order status area of the contact form. Nothing is charged and no work is guaranteed before that point.

Once you've confirmed you want to proceed, at the price and scope agreed, that confirmation is what starts the work.

Your right to change your mind

If you're ordering as an individual rather than a business, EU consumer law gives you 14 days from agreeing to a contract to withdraw from it without giving a reason, and without any cost, as long as work hasn't been fully completed yet.

Because custom development work often needs to start quickly, when you confirm your order and payment in the order status area of the contact form, you're explicitly asking for work to begin straight away and acknowledging that once the service has been fully delivered, your right to withdraw ends, as allowed under Article 16(a) of the EU Consumer Rights Directive.

Before that confirmation, or if the work isn't finished yet, you can still withdraw. Contact contact@shadowghost.eu and see the Refund and Cancellation Policy for how that works in practice.

To withdraw, send me a clear statement by email, for example: "I withdraw from the contract for [service], ordered on [date], [your name and address]". You don't have to use any specific form, and a model withdrawal form is available from me on request. Withdrawal is governed by section 1829 of the Czech Civil Code.

This right of withdrawal applies to individual clients. It doesn't apply to businesses ordering for their own trade or profession, since those protections are specifically for consumers.

Payment

Payments are collected through Revolut, using a payment link sent once your final price is confirmed. I don't store your card or payment details myself.

For the managed plan, the recurring fee is billed on the schedule agreed when you sign up, and continues until either side ends the arrangement.

What I need from you

Please give accurate contact and billing information, and respond within a reasonable time when I need input, feedback, or content from you. Delays on your side can affect the delivery timeline.

Any content, images, text, or brand material you provide me to use in the project needs to be yours to use, or properly licensed. You're responsible for that, not me.

Delivery and acceptance

Once work is delivered, you'll be asked to confirm delivery in the order status area of the contact form. Confirming means you're satisfied the work matches what was agreed, and closes out the project.

If something doesn't match the agreed scope, tell me before confirming so it can be corrected as part of the original project, rather than as separate paid work.

Ownership of the work

For a one-time, full-ownership project: once it's fully paid for, the source code and everything built for you is yours outright, to host, modify, or move wherever you like.

For a managed plan: I retain ownership and hosting of the website while the plan is active, and you're granted the right to use it as intended for as long as the plan continues. If you ever want to move to full ownership instead, get in touch and we can work that out separately.

Digital keys

Separately from web development, I can help source digital keys, for games, software, and similar. For this service I act only as an intermediary, connecting you with a licensed third-party platform that actually issues and provides the keys, not as the seller of them.

Orders, and the optional partner program described on the site, are both handled directly by email rather than through this site, so no separate checkout, account, or contract is created here. If a key you bought through me doesn't work, is invalid, or is never delivered, you're entitled to either a replacement key or a full refund, whichever you'd prefer, and I'll sort it out personally rather than pointing you to the third-party platform. Since fulfillment depends on that platform, the exact process is handled case by case by email rather than under the Refund and Cancellation Policy above, which is written for web-development projects, but the replacement-or-refund guarantee itself always applies.

Liability

I do my best to deliver working, reliable software, but as with any service, I can't guarantee it will be completely free of defects or uninterrupted.

To the extent the law allows, my liability for any claim relating to a project is limited to the amount you paid for that project, and I'm not responsible for indirect losses like lost profits or lost business opportunities.

Nothing in these terms limits liability where the law doesn't allow it to be limited, for example in cases of fraud or gross negligence.

If you're an individual client, your statutory rights when a digital service or content doesn't match what was agreed, for example to have it brought into conformity, a price reduction, or ending the contract, are not affected by anything in these terms.

Governing law and disputes

These terms are governed by Czech law. If you're an EU consumer, this doesn't take away any mandatory protections you have under the law of the country you live in.

If a disagreement comes up, I'd rather sort it out directly, so contact contact@shadowghost.eu first. Czech consumers can also bring a complaint to the Czech Trade Inspection Authority (Česká obchodní inspekce) for out-of-court dispute resolution.

Changes to these terms

I may update these terms from time to time. Changes won't affect a project you've already agreed to, only new requests made after the update.
